Welcome to Nutrition Fact Point ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, telehealth consultations, in-home wellness services, membership plans, and related products and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Eligibility

To use our Services, you must:

• Be at least 18 years of age, or have a parent/guardian create and manage your account
• Be a legal resident of the United States
• Have the legal capacity to enter into binding agreements
• Not be barred from using our Services under applicable law

2. Account Registration

To access personalized features and health services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your login credentials
• Accept responsibility for all activities occurring under your account
• Promptly notify us of any unauthorized access or security breaches

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for more than 24 months.

3. Medical Services Disclaimer

Nutrition Fact Point provides wellness management, preventive care, and non-emergency medical consultations. Our providers are licensed in the states where they practice and are authorized to:

• Perform wellness assessments and preventive screenings
• Offer lifestyle coaching and nutrition counseling
• Provide telehealth consultations for non-emergency conditions
• Order lab work and diagnostic imaging
• Prescribe certain medications where legally permitted

We do not:

• Treat acute emergencies or trauma
• Provide surgical services
• Prescribe controlled substances except where specifically authorized by state law
• Replace your existing primary care provider (unless you choose to transition)

4. Membership Plans & Billing

4.1 Subscription Terms

All membership plans are billed on a recurring monthly basis unless otherwise specified. By subscribing, you authorize us to charge your designated payment method on the same date each month.

4.2 Cancellation

You may cancel your membership at any time through your account dashboard or by contacting our support team. Cancellations take effect at the end of the current billing cycle, and you will retain access until that date. No refunds are issued for partial months.

4.3 Price Changes

We reserve the right to modify pricing with 30 days' advance notice. Continued use after a price increase constitutes acceptance of the new rate.

4.4 Refunds

Due to the nature of personalized health services, refunds are generally not available. Exceptions may be granted on a case-by-case basis within 14 days of initial enrollment if no services have been rendered.

5. Health Information & Consent

By using our Services, you consent to:

• Collection and processing of your health information as described in our Privacy Policy
• Sharing of your PHI with treatment providers, labs, and pharmacies involved in your care
• Telehealth consultations via secure video/voice platforms
• Electronic delivery of medical records and prescriptions

You retain all rights granted under HIPAA and applicable state privacy laws.

6. User Responsibilities

You agree to:

• Provide truthful, complete health history and information
• Follow treatment plans and recommendations provided by our care team
• Report adverse reactions or concerns promptly
• Use Services only for lawful, personal, non-commercial purposes
• Not share your account with others
• Not attempt to reverse engineer, scrape, or abuse our platform

7. Prohibited Conduct

You may not:

• Use Services to obtain controlled substances illegally
• Submit false or fraudulent information
• Impersonate another person or entity
• Harass, threaten, or abuse our staff
• Interfere with or disrupt our Services or servers
• Upload viruses, malware, or harmful code
• Violate any applicable federal, state, or local laws

8. Intellectual Property

All content on our platform — including text, graphics, logos, images, videos, software, and trademarks — is owned by Nutrition Fact Point or its licensors and is protected by US and international copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for personal purposes. You may not reproduce, distribute, modify, or create derivative works without written permission.

9. Third-Party Services

Our platform may contain links to third-party websites, services, or integrations (e.g., lab partners, pharmacies, insurance providers). We are not responsible for their content, practices, or availability. Your interactions with third parties are governed by their respective terms.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• Specific health outcomes or results
• Uninterrupted or error-free service
• Compatibility with all devices or networks
• Accuracy of third-party content

Healthcare Disclaimer: Individual results vary based on genetics, lifestyle, adherence to treatment plans, and other factors. We do not guarantee specific outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, Nutrition Fact Point and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to:

• Loss of profits, data, or goodwill
• Personal injury (except to the extent caused by our gross negligence)
• Service interruptions or technical failures
• Unauthorized access to your account

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nutrition Fact Point from any claims, damages, losses, or expenses (including legal fees) arising from your use of Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to Services at any time, with or without cause, with or without notice. Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall remain in effect.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws principles.

14.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@nutritionfactpoint.com to attempt informal resolution for at least 30 days.

14.3 Binding Arbitration

Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Ada County, Idaho. The arbitrator's decision shall be final and binding.

14.4 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class or representative actions.

15. Communications

By creating an account or subscribing to our newsletter, you consent to receive emails, SMS messages, and phone calls related to your care, account status, billing, and (with separate consent) marketing. You may opt out of marketing communications at any time via the unsubscribe link in each email or by visiting our Unsubscribe Page.

16. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or prominent website notice. Your continued use of Services after changes take effect constitutes acceptance.

17. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Nutrition Fact Point regarding the Services and supersede all prior agreements.
